PENEU VENDOR / SELLER AGREEMENT

1. INTRODUCTION

This Vendor Agreement ("Agreement") is entered into between Peneu ("Company" or "Platform"), a provider of eCommerce services, and the Vendor/Seller ("Vendor" or "You") who agrees to use Peneu to manage and operate online sales activities. The Vendor agrees to comply with the following terms and conditions that govern the usage of the Peneu platform and services.

Peneu is a multi-vendor eCommerce platform provider, not a retailer or direct seller of any goods or services. The platform enables local retailers and small business owners to create and manage their own online stores without the need for coding skills. Peneu provides digital tools, marketing support, tax billing, and logistics integration to help businesses grow online.


2. DEFINITIONS

  • Vendor/Seller: The individual or legal entity offering products/services through Peneu.

  • Platform: The Peneu digital interface including mobile apps, websites, dashboards, and backend systems.

  • Customer: End users who purchase products/services listed by vendors on Peneu.

  • Products: Items or services listed and sold by vendors.

  • Commission: The fee charged by Peneu on each transaction.

  • Services: eCommerce tools, courier integrations, SEO, tax billing, marketing, etc., provided by Peneu.


3. SCOPE OF PLATFORM SERVICES

Peneu provides the following key services:

  • Multi-store creation and management

  • SEO optimization and marketing

  • GST-compliant invoicing & tax reports

  • 50+ courier integrations with live tracking

  • 47+ payment gateway integrations

  • POS billing and ticket support

  • Automated inventory and order tracking

  • Staff and delivery boy login modules

  • Email, SMS, WhatsApp marketing tools


4. VENDOR ONBOARDING

Vendors must:

  • Register using valid KYC documents (PAN, GSTIN, Aadhar, etc.)

  • Complete verification and approval

  • Upload accurate business information and product details

  • Configure store policies (return, shipping, etc.)


5. PRODUCT LISTING

The vendor is solely responsible for the information and accuracy of their listings. This includes:

  • Product titles, descriptions, specifications, and images

  • MRP, pricing, discounts, and applicable taxes

  • Categorization and tags

Prohibited items, copyright infringement, and misleading claims will lead to suspension or legal action.


6. INVENTORY & ORDER MANAGEMENT

The vendor must ensure:

  • Stock levels are accurately updated

  • Orders are processed timely

  • Cancelled/returned orders are properly handled

  • Real-time status is maintained for customers


7. PRICING AND TAXATION

Peneu provides billing tools but does not file taxes on the vendor's behalf.

  • Vendors are required to upload correct HSN/SAC codes

  • GST, CGST, SGST, or IGST must be applied as per law

  • All product prices should be inclusive of applicable taxes unless specified


8. SHIPPING AND COURIER PARTNERS

  • Vendors can use Peneu’s courier network or integrate their own

  • Peneu provides live tracking and auto-assign pickup slots

  • Vendors are responsible for packing and dispatching goods timely

  • Shipping charges are calculated per shipment and invoiced


9. RETURNS, REFUNDS & REPLACEMENTS

  • Vendors must adhere to Peneu’s return/refund guidelines

  • Genuine complaints must be resolved within 72 hours

  • Quality issues, delays, or fraud can result in claims and penalties

  • Repeated return complaints may trigger performance review


10. COMMISSIONS, PAYMENTS & FEES

  • A percentage commission is deducted per transaction

  • Other fees: technology fee, courier integration, gateway charges

  • Weekly settlements are made post T+X cycle (X = days)

  • Settlements are made via NEFT/IMPS/UPI


11. PLATFORM USAGE

Vendors agree to:

  • Not misuse customer data

  • Not engage in fraudulent activities

  • Keep all content professional and accurate

  • Follow all platform updates and comply with new policies


12. CUSTOMER SUPPORT

Peneu provides:

  • Admin panel for ticket creation

  • Priority email/phone support for verified vendors

  • Guides and training videos for store setup


13. INTELLECTUAL PROPERTY RIGHTS

  • Vendor owns rights to its product content and brand

  • Vendor grants Peneu permission to use content for listing and marketing

  • Unauthorized use of other brands or third-party content is not allowed


14. LEGAL COMPLIANCE

Vendors must comply with:

  • Indian Contract Act, 1872

  • Information Technology Act, 2000

  • GST rules and eCommerce regulations


15. CONFIDENTIALITY

Vendor agrees to keep all proprietary, platform-related, and customer information confidential and not disclose it without written permission.


16. TERMINATION

  • Either party may terminate with 30 days' notice

  • Peneu may terminate without notice in case of legal violations, fraud, or repeated complaints

  • Upon termination, all pending dues must be cleared


17. DATA PRIVACY

  • Vendor data is stored securely on encrypted servers

  • Customer data is not to be misused or sold

  • Data analytics may be used for platform improvement


18. DISCLAIMERS

  • Peneu does not guarantee traffic, sales, or income

  • Platform is provided "as is" with best effort services

  • Downtime or delays may occur due to technical issues


19. LIMITATION OF LIABILITY

  • Peneu’s liability is limited to the commission received in the last 3 months from the vendor

  • No liability for lost profits, customer loss, or indirect damages


20. SEO & MARKETING SUPPORT

Peneu offers:

  • Keyword analysis

  • Product optimization

  • Ad support (Google, Meta)

  • WhatsApp & email campaigns


21. NOTICES

All communications must be sent to:

22. MODIFICATIONS TO AGREEMENT

Peneu may update this agreement periodically. Vendors will be notified. Continued use indicates acceptance.


23. DISPUTE RESOLUTION

All efforts will be made to resolve issues amicably. If not, disputes will be governed under Gurugram, Haryana jurisdiction.


24. SEVERABILITY

If any part of this Agreement is found unenforceable, the rest remains in effect.


25. ENTIRE AGREEMENT

This document contains the full and final agreement and supersedes all prior versions.
